Steelmaking coal is an essential ingredient in blast-furnace steel manufacture, producing steel used for critical building and infrastructure around the world. In Australia, we operate five steelmaking coal mines in Queensland’s Bowen Basin, and have additional joint venture interests in manganese, as well as copper exploration projects underway in North West Queensland and Western Australia.
We are seeking an experienced Company Secretarial Specialist to support the delivery of company secretarial compliance and governance activities across the Steelmaking Coal business. This role has a strong administrative and compliance focus, supporting a portfolio of unlisted Australian entities. Additional to company secretarial compliance and governance, this role plays a key part in the management of our joint ventures.
Reporting to the Vice President – Legal & Sustainability and working closely with the broader Legal team, this role suits someone who is highly organised, meticulous and comfortable working in a routine-driven environment, while also being confident engaging with internal stakeholders and joint venture partners.
Company secretarial & governance compliance
Deliver company secretarial compliance activities in line with regulatory and legal obligations and internal governance requirements
Support the company secretaries for a range of Australian entities, including preparation of board and shareholder documentation, maintaining statutory registers and records, and managing lodgements
Manage processes relating to director appointments, resignations and changes, ensuring timely and accurate execution
Maintain governance calendars and ensure all routine and recurring compliance activities are completed accurately and on time
Support, implement and maintain best-practice governance frameworks appropriate to the Steelmaking Coal business
Joint venture management
Support the administration and governance requirements of Steelmaking Coal joint ventures
Implement and manage processes to ensure compliance with joint venture obligations
Act as a key interface with joint venture partners, fielding queries, coordinating responses and ensuring communications are accurate, appropriate and aligned with joint venture agreements
Organise and coordinate joint venture management committee meetings, including scheduling, preparing meeting packs, circulating papers and distributing minutes and actions
Maintain a strong working knowledge of joint venture agreement terms and provide assistance to the business in obtaining necessary joint venture approvals
You are a detail-oriented governance or legal professional who values structure, accuracy and follow‑through. You enjoy work that is process-driven and take pride in keeping complex compliance obligations running smoothly.
Proven experience in a company secretarial, governance or junior legal role
Sound understanding of Australian company law and governance requirements
Strong interpersonal and communication skills, with the confidence to deal professionally with senior internal stakeholders and external joint venture partners
A methodical, organised approach with excellent attention to detail
The ability to manage routine workflows while responding to periods of increased activity driven by joint venture demands
Relevant tertiary qualification in law, business or governance (or equivalent practical experience)
Governance Institute of Australia certification or membership (or progress toward) will be viewed favourably
